These Terms and Conditions govern the provision of online advisory and professional consultation services by Astrologers who register on the Hello Astrologer platform. By registering as an Astrologer, you are directly contracting with Champs Connect Private Limited. The following terms and conditions (referred to collectively as the "Terms & Conditions") legally bind Astrologer Advisors (referred to herein as "You" or "Your") and Hello Astrologer, a product of Champs Connect Private Limited (referred to herein as "Hello Astrologer", "We", "Our", "Us", or the "Company") concerning the use of the Hello Astrologer website (referred to as the "Website") and the services offered through the website or application.

Hello Astrologer reserves the absolute right to modify, add, alter, or remove any part of these Terms and Conditions at its sole discretion. Your continued use of the Hello Astrologer website and application after any modifications to the Terms and Conditions implies your acceptance of these changes. It is the responsibility of “You” to periodically review our Terms & Conditions.

Some services come with a fee ("Paid Services"), while others are free ("Free Services"). These terms are an agreement between you ("User") and Hello Astrologer. Please read them carefully before using our website or app. By using Hello Astrologer, you agree to these terms. If you don't agree, please don't use our services.

You agree to the following Terms of Use by using this website & application. If you do not agree, please refrain from using this website or any of its services.

NATURE AND APPLICABILITY OF THE TERMS

• These Terms encompass the current Terms and Conditions as well as the Privacy Policy. Together, they constitute the entire legal agreement between “You” and “Hello Astrologer”.
• Upon signing up on Hello Astrologer, the following terms shall apply to you:
• You are required to verify your identity by providing a recent profile photo/image. This image will be used on your profile and cannot be replaced/changed by you. You must request approval from Hello Astrologer team if you willing to change/replace your profile image. You are prohibited from using this photo on any other platform or website for the duration of these terms. Violation of this clause will result in the deactivation of your profile. By creating a profile on Hello Astrologer, you grant Hello Astrologer a sole, royalty-free, perpetual, irrevocable, worldwide license to:
• Utilize, reproduce, modify, distribute, and display any part of your profile, including display pictures, ratings, and user reviews, in any present or future form, media, or technology.
• Display your profile online and offline, including on the internet, TV, or other print media, for marketing, promotional, or branding purposes.
• Make your content visible online or offline through Hello Astrologer or its contractors or partners.
• Your personal identity or information must not be disclosed on your profile. Your display name may only include your first name or the name chosen by the Hello Astrologer Panel. If you wish to change this profile name, you must request approval from Hello Astrologer. You are prohibited from using this name on any other platform or website for the duration of these terms.
• You agree not to exploit your work on Hello Astrologer for personal publicity. Your display name and display picture must not be publicized by you without written permission from Hello Astrologer.
• You are prohibited from using the same display image and display picture used on Hello Astrologer on any other platform for a period of 5 years following the termination of your association with Hello Astrologer. This association may be terminated by terminating the binding contract and relationship with Hello Astrologer and discontinuing your profile.
• Your real name, full name, or alternate name must not be disclosed by you to users. In any form of communication (calls, chats, reviews, comments) on Hello Astrologer, you must use your display name only. Violation of this clause will result in the permanent deactivation of your profile with immediate effect without prior notice.
• You acknowledge that you have provided all information truthfully and to the best of your knowledge. None of the information provided by you is unlawful under any applicable law or regulation. By signing up, you agree that if any information provided by you is found to be false, your profile will be permanently deactivated with immediate effect without prior notice.
• As a professional Astrologer, upon signing up with Hello Astrologer, your submitted information and details undergo thorough verification. If found compliant, Hello Astrologer will create your profile. Please note that even if you choose to terminate your contract with Hello Astrologer, your display name and display image may be displayed on this website for a period of 3 years unless your profile has been removed for any violation on this platform.

Obligations and Performance

Zero Tolerance for Violations

• You are required to conduct yourself in a courteous manner with customers of Hello Astrologer. Any form of disrespectful behaviour, including the use of offensive language or threats, will not be tolerated and may result in the deactivation of your profile on Hello Astrologer for a minimum of 1 week, with the possibility of further extension. To resume services, you must provide a written assurance that the violation will not be repeated.
• You agree to behave with decorum and respond patiently and respectfully to all customer queries. It is prohibited to disclose the personal information of customers obtained through Hello Astrologer or to divulge the reasons for their seeking advice. Violation of this clause will result in the immediate deactivation of your profile without prior warning.
• You agree to maintain the integrity of Hello Astrologer by refraining from uploading any content that violates the law, is harmful, defamatory and obscene, invades privacy, harasses or threatens others, promotes hate, or is racially or ethnically inappropriate. Posting such content on Hello Astrologer is strictly prohibited.
• You are prohibited from engaging in any activities that could defame Hello Astrologer or harm its interests. This includes refraining from posting defamatory remarks or reviews about Hello Astrologer on any social media platform. You are also prohibited from sharing company policies or making negative remarks about staff, officers, directors, agents, consultants, or affiliates of Hello Astrologer. You agree not to prompt, persuade, or encourage others to do the same. Violation of this clause will result in the deactivation of your profile.
• By signing up on Hello Astrologer, you agree to respond professionally to all reviews or comments posted by customers targeting you. It is prohibited to disclose the personal information of customers obtained through Hello Astrologer or to disclose the reasons for their seeking advice or any other confidential information revealed during consultation.

Personal Information

• You agree not to disclose any private information about yourself, your acquaintances, family, friends, or others, whether or not they are associated with you. This includes but is not limited to personal contact numbers, bank account details, emails, websites, blog posts, and social media profiles (Facebook, Instagram, WeChat, Whatsapp, Telegram, etc.). Sharing personal data with consulting customers is prohibited. Violation of this clause will result in the permanent deactivation of your profile.
• You agree not to request any funds or remuneration for free services provided by you under any circumstances.
• You are not permitted to request customers to submit money to your personal account for services offered through Hello Astrologer.
• You agree not to misuse any customer information or share your personal data with the customer by any means. Violation of this clause will result in the permanent deactivation of your profile.
• Your account will only be activated if the compliance team finds you clean after investigating your conversations (including chats, texts, and phone conversations) with customers; otherwise, your profile on Hello Astrologer will be permanently deactivated.

Direct Contact Prohibition:

• You agree not to obtain the contact information of any customer seeking your consultation and influence them to consult you privately for personal gain.
• You are required to instruct customers of Hello Astrologer seeking your advice to ask any questions exclusively on the Hello Astrologer portal. You must advise them against sharing any personal information during phone calls or chat consultations.
• If you are compelled to refer another Astrologer listed on Hello Astrologer to the customer, you must only provide that Astrologer’s Hello Astrologer ID and/or Name. You must not disclose any other information about that Astrologer, including contact number, email address, personal website, or social media profiles (Facebook, Instagram, etc.).
• You agree not to utilize any customer information shared with you during consultation or contact through Hello Astrologer. This includes personal information such as contact numbers, and you declare that you will not use it to directly approach the customer for personal benefit without the knowledge & consent of Hello Astrologer team. Violation of this clause will result in the deactivation of your profile.

Genuine Astrology Services:

• Hello Astrologer does not endorse or promote superstitious activities such as Tantra, Black Magic, Tona Totka, Vashikaran, etc. You are required to provide only practical and simple remedies during consultations. Any advice that poses a threat to human or animal life or is related to any form of harm will be considered a serious violation.
• You are prohibited from defaming or disrespecting any other Astrologer listed on Hello Astrologer while offering your services. You agree not to make derogatory remarks about other Astrologers, such as questioning their competence or skill. Violation of this clause may result in temporary deactivation.

Misusing Credentials provided by Hello Astrologer:

• You agree not to share Hello Astrologer credentials provided to you with anyone else. Hello Astrologer's system collects data through your IP Address. Violation of this clause will result in the deactivation of your profile.
• You agree not to share personal account details created on Hello Astrologer with anyone else. You must not deceive your customers by providing them consultation through anyone else impersonating you. Violation of this clause will result in profile deactivation and potential criminal liability.
• You are prohibited from impersonating any person, including fellow Astrologers on Hello Astrologer or any other entity, guide, or misrepresenting your affiliation with any person or entity on other platforms.
• Violation of the above clauses will result in profile deactivation, and any special badge (if allotted) on your profile will be removed.

Predictions:

• Hello Astrologer does not endorse providing predictions on sensitive topics that may lead customers to make reckless decisions. You are prohibited from advising users on the following topics or any situation that may encourage the customer to engage in illegal activities:
• Predicting the gender of an unborn child.
• Specifying the exact date or time for medical procedures, such as the success of an operation on a particular date.
• Predicting any criminal activities planned by the user.
• Providing guidance on gaining profit through illegal means.
• Making predictions related to gambling, money laundering, drug abuse, etc.
• Predicting death for any reason, including medical or accidental causes.

Violation of this clause will result in permanent profile deactivation. It is agreed between parties that your profile will be blacklisted, and you will no longer be able to contract with Hello Astrologer in any capacity in the future.

• You agree that in any case, including internet issues, incorrect predictions, technical glitches, or customer dissatisfaction with the service provided, you will unconditionally accept to refund the amount to the customer and inform Hello Astrologer accordingly. If found violating this clause, Hello Astrologer reserves the right to issue a refund to the customer.
• It is agreed between the parties that all your chat and call conversations with customers will be recorded for quality assurance purposes. Hello Astrologer may choose to monitor such conversations without informing you of the monitoring reasons.
• You agree to provide only genuine answers to customers and refrain from copying and pasting data from other websites and apps. You are required to thoroughly analyse customers' issues and charts and compose and type all answers yourself. If it is found that your answers are copied or if complaints are received about poor report quality, a refund will be processed to the customer immediately

Usage of Features

Reviews:

Customers have the option to provide reviews for the services you provide to them. These reviews may be positive or negative based on the service delivered. You are prohibited from coercing users into providing positive reviews or ratings for your services. Deleting or removing any review submitted by a customer is not permitted. If changes to reviews are desired for genuine reasons, a request must be submitted to the admin, and appropriate action will be taken if necessary.

Pricing:

You agree that Hello Astrologer has the exclusive right to adjust pricing at our sole discretion, and we may implement these changes without prior notice. In line with our payment terms, you acknowledge and agree to the following revenue-sharing terms for payments made by customers for your services through Hello Astrologer:

• You will receive 40% of the payment for the first 10 minutes of a call or chat with any user consulting with you for the first time. After the first 10 minutes, 55% of the remaining minutes will be calculated & deposited into your registered bank account for consultations with the same user. The first 10 minutes will be counted based on a single session and/or multiple sessions with the same user.
• We will offer a free trial session to all first-time users, lasting between 3 to 5 minutes. No revenue will be shared with you for these promotional calls.
• We may offer promotional recharge offers, schemes, or discounts to users, the costs of which will be covered by us. Other than the free trial sessions, you will not be required to share the cost of these promotional schemes.
• Any applicable statutory charges, such as TDS/GST, will be deducted upfront according as per legal requirements shall be applicable to you.
• We may deduct actual payment gateway charges, which will be communicated to you when applicable.
• You agree that all payment settlements between you and us will be made on a fortnightly basis. Your earnings for the first two weeks will be transferred to your registered bank account before the end of the third week on a continuous basis.

Profile Update:

You agree and acknowledge that once your profile is verified by the compliance team on Hello Astrologer, it cannot be changed unless the proposed changes are reverified. To request any change to the content or details of your profile, you are required to raise a ticket from the dashboard of Hello Astrologer.

Feature Updates:

The features and functionalities provided to you on Hello Astrologer may be altered or removed at any time. Upon updating a feature or adding a new one, you will be notified through the dashboard of the Hello Astrologer application. Your continued use of the app and website will indicate your acceptance of the updates made.

Refund and Cancellation:

• You acknowledge that any service received by you through Hello Astrologer is chargeable. If any user seeks a refund for the amount paid for your services, the complaint shall be reviewed by the Administrator/Compliance team. If found genuine, a partial or full refund will be processed without seeking your approval. You agree that in such matters, the decision of Hello Astrologer will be final. Once the refund is made, it shall be binding on both parties to this Terms i.e., You and Hello Astrologer.
• If any genuine complaint is raised by foreign users, they will be entitled to receive a refund of the amount paid through the payment gateway. You agree that if any refund is processed for any foreign user, the same shall be refunded from your account as well.
• Users will be eligible for a refund only for services delivered within the past 3 days from the date of the refund request made by the customer.

Indemnification:

• You undertake to compensate, defend, and hold Hello Astrologer, its affiliates, and its employees, directors, officers, representatives, consultants, and agents (collectively referred to as the “Indemnified Parties”) harmless from any losses, suits, damages, expenses, judgments, and costs (including reasonable attorneys' fees and litigation costs) arising out of or in connection with:

i) Any suit, action, or claim made by you.
ii) Any unauthorized use and violation of created and managed profile on Hello Astrologer by you.
• Before any claim is brought for indemnification, the indemnified party shall notify the other party of the proceeding and provide all legal pleadings and other documents reasonably necessary to defend the indemnifiable proceedings.
• If the indemnified party fails to notify the indemnifying party of the legal proceedings, the other party will be relieved of its indemnification obligations to the extent it was prejudiced by the indemnified party's failure.

This section shall survive the termination or expiration of this Agreement.

GOVERNING LAWS:

• The above-mentioned terms and disputes arising from them will be governed by Indian laws.
• The exclusive jurisdiction to entertain and determine any dispute arising between You and Hello Astrologer will be vested in applicable location of court.

DISPUTE RESOLUTION:

• a. Disputes arising in these Terms and on the Website will be resolved in the first instance by methods such as Arbitration, Mediation, and Conciliation.
• b. The arbitrator’s decision will be considered final and binding on You and Hello Astrologer.

SEVERABILITY:

• It is agreed between the parties that if any clause of these terms and conditions is held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue to remain in effect and in full force.
• Any provision declared or determined to be invalid, unenforceable, or illegal shall be removed from these Terms and will have no adverse effect on other clauses.

CONFIDENTIALITY AND NON-DISCLOSURE:

You agree not to disclose the confidential information of Hello Astrologer to any third party and shall hold it in strict confidence. You are prohibited from using confidential information other than for the use of the Website. You agree not to use the confidential information of Hello Astrologer for any personal or third-party gains.

INTELLECTUAL PROPERTY:

Hello Astrologer will be the sole owner of all the content generated and displayed on Hello Astrologer’s website, apps, and other platforms, including copies exchanged between customers and Astrologers. Hello Astrologer retains all ownership rights. This section shall survive the termination or expiration of this Agreement.

OTHER GENERAL PROVISIONS:

• You agree and understand that Hello Astrologer, its affiliates, and any officers, directors, subcontractors, shareholders, agents, and employees thereof shall not be liable to any third party for any incidental, indirect, special, consequential, punitive, or estimable damages, including (but not limited to), loss of business, profits, revenue, data, use, or other economic benefits.
• You understand that neither party will be liable for breach of contract damages that are remote or speculative in nature or that the breaching party did not foresee or contemplate upon entering into these Terms for genuine reasons.
• It is agreed between the parties that neither party may assign these Terms or any of their rights or obligations hereunder without the prior consent of the other.
